Welcome to Tessera Labs ("Tessera Labs," "we," "our," or "us"). These Terms of Use ("Terms") govern your access to and use of our website at www.tesseralabs.ai and any related services (collectively, the "Site").

By accessing or using the Site, you agree to these Terms. If you do not agree, please do not use our Site.

1. Use of the Site

You may use the Site only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Site in a way that violates any applicable law or regulation

• Attempt to gain unauthorized access to any part of the Site, server, or network

• Interfere with the Site's operation or security

• Use automated tools (e.g., bots, scrapers) to collect data from the Site without our permission

We reserve the right to suspend or terminate your access if you violate these Terms.

2. Intellectual Property

All content on the Site—including text, graphics, logos, designs, software, and other materials—is the property of Tessera Labs or its licensors and is protected by intellectual property laws.

You may not copy, reproduce, distribute, modify, or create derivative works from our content without our prior written consent.

3. User Submissions

If you provide feedback, ideas, or suggestions ("Feedback"), you agree that Tessera Labs may use that Feedback 

to improve our products and services, without obligation of confidentiality or compensation, subject to the anonymization and AI/ML use standards described below.  Do not submit confidential or proprietary information unless you intend for Tessera Labs to use it.

A — Data Taxonomy Alignment

Data Taxonomy

When you interact with our Site or services, we distinguish between:

• Service Data: Information you or your organization submits for processing by the Tessera platform. You retain ownership of Service Data. Where applicable, Tessera acts as a Data Processor for Service Data under the terms of our Master Subscription Agreement (MSA).

• Usage Data: Technical and operational metrics gathered automatically as you use the Site (e.g., page visits, feature usage, performance logs). Tessera Labs owns Usage Data and uses it to improve the platform. Usage Data does not include raw personal information from Service Data.

Our Privacy Policy provides full details of how each data category is collected, used, and protected.

B — AI/ML Data Use Disclosure

Use of Data for AI/ML Improvement

We may use Service Data and Usage Data in an anonymized and aggregated format for the development and improvement of our machine learning models and artificial intelligence engines. Before any such use:

• All data is processed such that it no longer identifies any individual, customer, or organization.

• We do not use raw, identifiable Service Data to train AI models.

• We will not use your data to train or fine-tune AI models for any third party.

This section applies to all users of the Site. MSA customers are additionally governed by MSA Section 6.3.1.

4. Third-Party Links

Our Site may contain links to third-party websites or resources. These are provided for your convenience only. We are not responsible for the content, accuracy, or practices of those websites and do not endorse them.

You access third-party sites at your own risk.

5. Disclaimer of Warranties

The Site and all content are provided "as is" and "as available" without warranties of any kind, express or implied.

Tessera Labs does not guarantee that the Site will be uninterrupted, secure, or error-free, or that any content is accurate or reliable.

To the fullest extent permitted by law, we disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

6. Limitation of Liability

To the maximum extent permitted by law, Tessera Labs and its affiliates, directors, employees, and agents will not be liable for any indirect, incidental, consequential, or punitive damages arising from your use of the Site, even if we were advised of the possibility of such damages. Our total liability for any claim related to the Site will not exceed $100.

7. Indemnification

You agree to indemnify and hold harmless Tessera Labs, its affiliates, and their officers, directors, employees, and agents from and against any claims, damages, liabilities, losses, or expenses arising out of your use of the Site or violation of these Terms.

A — US Data Privacy Commitments (A.5.31 Register Annex — TOS Equivalent)

This section summarises Tessera Labs' key privacy and data commitments applicable to all users of the Site, consistent with applicable US law.

• We do not sell your personal information to third parties. 

• Service Data you submit remains your property. 

• Usage Data (platform metrics) is owned by Tessera and used to improve the platform. 

• AI/ML model training uses only anonymized, aggregated data — never raw PII. 

• Third-party service providers assisting Tessera are bound by confidentiality obligations. 

• Tessera honors Do Not Track (DNT) signals on our marketing site.

8. Changes to These Terms

We may update or modify these Terms at any time. The updated version will be posted on this page with a new effective date. Your continued use of the Site after changes are posted means you accept those changes.

9. Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict of law principles.

Any disputes will be resolved in the state or federal courts located in Santa Clara County, California, and you consent to that jurisdiction.
